This license is limited to the purposes of operating the Platform and does not grant us any ownership interest in your User Content.

We do not claim any ownership of or rights to your User Content. We will not access, use, or disclose your User Content except as necessary to provide the Service, comply with applicable law, or respond to lawful governmental requests. Our handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement commercially reasonable administrative, technical, and physical safeguards to protect User Content, including encryption at rest and in transit, access controls, and regular security audits. 8. AI Features Disclaimer

Preside incorporates artificial intelligence ("AI") features, including but not limited to AI Meeting Summaries, AI Governance Insights, AI Board Book Generation, and the AI Board Advisor. These features use machine learning models to analyze data, generate summaries, provide recommendations, and respond to governance-related queries.

AI outputs are provided for informational purposes only. The information, summaries, insights, recommendations, and responses generated by Preside's AI features do not constitute legal advice, financial advice, professional counsel, or any form of certified professional opinion. AI-generated content should not be relied upon as a substitute for the judgment and advice of qualified legal, financial, or governance professionals.

No guarantee of accuracy or completeness. While we strive to ensure that our AI features produce accurate and helpful outputs, we make no representations or warranties regarding the accuracy, completeness, reliability, timeliness, or suitability of any AI-generated content. AI models may produce errors, omissions, outdated information, or outputs that are not applicable to your specific circumstances or jurisdiction.

You acknowledge and agree that any reliance on AI-generated content is at your own risk. You are solely responsible for verifying the accuracy and applicability of any AI outputs before making governance decisions, taking legal action, or relying on such content for any purpose. Global Board Institute disclaims all liability for any damages, losses, or adverse outcomes arising from your use of or reliance on AI-generated content.

9. E-Signature Terms

Preside provides native electronic signature ("e-signature") functionality that enables users to sign and collect signatures on board documents electronically. By using the e-signature feature, you acknowledge and agree that electronic signatures executed through the Platform are intended to be legally binding.

Electronic signatures executed through Preside are designed to comply with the United States Electronic Signatures in Global and National Commerce Act (ESIGN Act, 15 U.S.C. 7001 et seq.), the Uniform Electronic Transactions Act (UETA), and the European Union's Regulation (EU) No 910/2014 on electronic identification and trust services (eIDAS Regulation), where applicable.

Jurisdictional responsibility. The legal validity and enforceability of electronic signatures may vary by jurisdiction and document type. You are solely responsible for determining whether electronic signatures are legally valid and enforceable in your jurisdiction and for your specific use case. Certain documents, including but not limited to wills, trusts, powers of attorney, and certain real estate transactions, may require handwritten signatures or notarization under applicable law.

Global Board Institute does not provide legal advice regarding the enforceability of electronic signatures. We recommend consulting with qualified legal counsel to ensure that your use of e-signatures complies with all applicable laws and regulations in your jurisdiction.

10. Third-Party Integrations

Preside offers integrations with third-party services, including but not limited to Microsoft 365, Google Workspace, and Zoom ("Third-Party Services"). These integrations enable calendar synchronization, document collaboration, video conferencing, and other connected functionality.

Your use of any Third-Party Services is governed by the respective terms of service, privacy policies, and end-user license agreements of those third-party providers. By enabling an integration, you authorize Preside to exchange data with the applicable Third-Party Service as necessary to provide the integrated functionality.

Global Board Institute is not responsible or liable for the availability, accuracy, security, or performance of any Third-Party Services. We do not endorse and make no representations or warranties regarding any Third-Party Services. Any issues, disputes, or claims arising from your use of Third-Party Services must be directed to the applicable third-party provider.

We may modify, add, or remove integrations at any time. If we discontinue support for a Third-Party Service integration, we will provide reasonable advance notice to affected users where practicable.

11. Service Availability

We work to keep the Platform continuously available and we monitor it, but we do not currently offer a contractual uptime guarantee, service credits or a formal Service Level Agreement, and the Platform is provided on an as-available basis. If your organization requires a contractual SLA, contact us before subscribing so we can tell you where that sits on our roadmap.

Scheduled Maintenance. We may perform scheduled maintenance that requires temporary downtime. We will provide at least 48 hours' advance notice of scheduled maintenance via email notification and/or in-platform announcements. We will endeavor to schedule maintenance during off-peak hours to minimize disruption.

Force Majeure. We shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, epidemics or pandemics, government actions or orders, power outages, internet service disruptions, failures of third-party infrastructure providers, cyberattacks, or other events of force majeure. Our obligations under these Terms shall be suspended for the duration of any such event.

We will use commercially reasonable efforts to restore service promptly following any unscheduled downtime and to communicate with affected users regarding the nature and expected duration of any service interruption.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GLOBAL BOARD INSTITUTE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO GLOBAL BOARD INSTITUTE DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (USD $100.00).

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Global Board Institute and its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Any unauthorized use of your account, whether or not authorized by you.
  • Your reliance on AI-generated content, e-signatures, or any other feature of the Platform.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you agree to cooperate with us in asserting any available defenses. This indemnification obligation shall survive the termination of these Terms and your use of the Platform.

14. Termination

Termination by you. You may terminate your account and subscription at any time by contacting us at legal@presideos.com or through the account settings within the Platform. Termination will be effective at the end of your current billing period. No refunds will be issued for any unused portion of your subscription.

Termination by us. We may suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to situations where we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or pose a risk to the security or integrity of the Platform or other users.

Data export. Upon termination, you will have thirty (30) days to export your User Content from the Platform. We will provide data export functionality through the Platform or, upon written request, deliver your data in a standard, machine-readable format. After the 30-day data export period, we reserve the right to permanently delete all User Content associated with your account, and we shall have no obligation to maintain or provide access to such data.

The following provisions shall survive termination of these Terms: Sections 6 (Intellectual Property), 7 (User Content & Data, with respect to the limited license granted), 8 (AI Features Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Dispute Resolution).

15. Governing Law

These Terms and any disputes arising out of or in connection with these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the jurisdiction in which Global Board Institute is incorporated, without regard to its conflict of laws principles.

You agree that any legal proceedings arising out of or relating to these Terms or the Platform shall be brought exclusively in the courts of competent jurisdiction located in the jurisdiction of Global Board Institute's incorporation, and you hereby consent to the personal jurisdiction and venue of such courts.

16. Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or the breach, termination, or validity thereof ("Dispute"), the parties agree to resolve the Dispute through the following escalation process:

Step 1: Good Faith Negotiation. The parties shall first attempt to resolve the Dispute through good faith negotiations. Either party may initiate this process by sending a written notice describing the Dispute to the other party. The parties shall have thirty (30) days from the date of such notice to reach a mutually acceptable resolution.

Step 2: Mediation. If the Dispute is not resolved through negotiation within the 30-day period, either party may submit the Dispute to mediation administered by a mutually agreed-upon mediation service. The mediation shall be conducted in the jurisdiction of Global Board Institute's incorporation. The costs of mediation shall be shared equally between the parties.

Step 3: Binding Arbitration. If the Dispute is not resolved through mediation within sixty (60) days of the initial mediation request, either party may submit the Dispute to final and binding arbitration. The arbitration shall be conducted by a single arbitrator in accordance with the rules of a recognized international arbitration institution. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver. You agree that any Dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Global Board Institute.

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes to these Terms, we will provide at least thirty (30) days' advance notice by sending an email to the address associated with your account and/or posting a prominent notice within the Platform.

Your continued use of the Platform after the effective date of any modified Terms constitutes your acceptance of and agreement to the updated Terms.
